TERMS OF SERVICE
 

Whenever you use, access information, register, or place an order with Awesome Pattern Studio*, you must follow all of our terms of service.
 

Please read the following information carefully and make sure you have understood and agreed to all these terms before making any order.
 

Compliance with these terms will help to protect all retailers and customers, ensure reliable cooperation between Awesome Pattern Studio and the retailer and improve our service.

RESALE CONDITIONS
 

Retailers are authorized to sell our products only in their own standalone web store or brick and mortar shop. Any of these stores have to be approved by Awesome Pattern Studio at the time of application.
 

Resale is also allowed in physical locations where goods are sold for a temporary period of time (such as pop-up stores, seasonal design marketplaces, and local festivals) but retailers need to obtain prior written permission from Awesome Pattern Studio for such activities.
 

We don't allow retailers to sell or list our products on any third-party platforms (such as Amazon, eBay, Etsy) or physical stores or websites that do not belong to them. Retailers must inform Awesome Pattern Studio of any changes to the nature of their business.
 

Violation of the above requirements will affect the cooperation between the retailer and Awesome Pattern Studio and future shipments of our products. Awesome Pattern Studio reserves the right to refuse sales to any retailer without stating a reason.

MAP
 

We apply the Minimum Advertised Price (MAP) policy to all retailers in order to protect our brand and retailers.
 

The MAP policy means that listed product prices on the retailer’s site(s) must be no less than the MAP listed on the Awesome Pattern Studio's site. 
 

Awesome Pattern Studio sets the MAP of each product and reserves the right to change it at any time at its sole discretion. Retailers will be notified of any changes via newsletters. All retailers are responsible for keeping up to date with our latest prices and adjusting their MAPs accordingly.
 

Our MAP policy applies to all advertisements of products of the Awesome Pattern Studio in any form of media.
 

Our official retailers are eligible to offer a 10-20% discount for all first-time orders on their site that include products of the Awesome Pattern Studio. However, this discount must not be advertised exclusively for products of the Awesome Pattern Studio.
 

Our retailers also have the right to establish any other temporary special offers and seasonal discounts that may apply for a limited time period. Awesome Pattern Studio reserves the right to ask retailers to terminate these discounts if deemed necessary for reasons including, but not limited to, damage to the brand or other retailers.

MINIMUM ORDER AMOUNT
 

The minimum for an opening order is $300 for a single category and $500 for combined categories.
 

Minimum quantities per item are specified on the order form. There’s no minimum for reorders, but minimum shipping charges apply.

SUPPLY, LEAD TIMES & PRE-ORDERS

 

We always do our best to ship your order in full and as soon as possible but unfortunately sometimes there can be unforeseeable delays and issues with your orders due to uncontrollable circumstances such as inventory errors, damaged stock, logistical failure, or delays, etc.
 

Awesome Pattern Studio will not be responsible for the inability or delay in the execution of the order or any shortage of goods due to any unforeseeable or uncontrollable circumstances. Awesome Pattern Studio will also not be responsible for any consequences and will not compensate for losses that failed or delayed fulfillment of the order may cause, except the costs paid for the original order. Any compensation will be strictly limited to a refund of the unfulfilled goods and related shipping charges.
 

Pre-order dispatch schedules are always an estimate and subject to changes.
 

We will always contact you immediately to let you know about any significant changes in the status of your order and delivery schedule as they occur.

 

SHIPMENTS & CUSTOMS

 

We ship all orders from our warehouse in Lutsk, Ukraine. After dispatch, retailers are solely responsible for tracking the status of their shipment and receiving the item.
 

In the case of imports, the recipient is solely responsible for taking care of all local import taxes, duties, customs clearance inquiries, and import compliance.
 

If сustoms does not release the goods for any reasons: non-payment of import duties, unsuccessful delivery of goods during the courier's normal waiting period, lack of recipient or lack of adequate contact information and communication when attempting to deliver, or if local customs refuse entry for any reason, including but not limited to local compliance, the recipient will be responsible for all shipping costs incurred; shipping and return or reshipping costs, or the total value of the item if left by international customs.

 

DAMAGE & LOSS
 

It is the recipient's responsibility to carefully inspect the goods upon receipt and notify Awesome Pattern Studio immediately if there is any damage, defects, or shortage of items. Damage will be compensated immediately if photographic proof of outer packaging and products is provided within 2 days of receipt when Awesome Pattern Studio confirms it.
 

Any products received by the end customer and found to be defective will be replaced or reimbursed by Awesome Pattern Studio upon request with photographic confirmation. Retailers must notify Awesome Pattern Studio of any product defect before making a return or replacement so that Awesome Pattern Studio can offer the best solution to the problem. (i.e. replacement components, if possible, instead of the entire product)
 

Awesome Pattern Studio is not responsible for the loss of goods by couriers. However, in most cases, if the courier confirms the permanent loss of an item, it will be replaced or compensated on the basis of Awesome Pattern Studio's goodwill gesture. 
 

Awesome Pattern Studio does not compensate for the loss of goods due to the retailer's fault (including but not limited to the incorrect delivery address or contact information, absence at the time of delivery, failure to clear customs), and claims of loss not confirmed by courier. Confirmation of delivery by courier is final in disputed cases. 

SHIPPING CHARGES
 

The flat rates or weight-based rates that Awesome Pattern Studio offers on its site are exclusive discounted rates specifically for online orders. However, for special manually processed orders, actual shipping costs or discounted rates, alongside relevant handling charges, if necessary, will be applied at Awesome Pattern Studio’s discretion.
 

We always do our best to fulfill your online orders at the rates offered at checkout. However, in rare cases where the actual cost of delivery is disproportionately higher than the suggested rates because of sudden fluctuations in freight rates or unexpected surcharges charged by couriers Awesome Pattern Studio reserves the right not to fulfill your order at the suggested rates.
 

If it is not possible to ship your order at the rates suggested on the website, we may request additional shipping charges. We promise to do our best to find the most economical shipping options and ship your order only after you confirm any additional charges via email.
 

RETURNS
 

Awesome Pattern Studio goods are not returnable unless it is proven to be defective, damaged, or different from the product description. 
 

The retailer should carefully review all of the product information on the website before making an order.  We encourage you to contact an Awesome Pattern Studio representative with any questions prior to placing an order.
 

In order to be eligible for the return if you are not satisfied with the item for a compelling reason, the retailer must notify Awesome Pattern Studio immediately upon inspection upon receipt of the item before it goes on sale. Once agreed for the return, Awesome Pattern Studio will compensate for the goods after they’re returned safely in a resalable condition.

 

ORDER CHECKOUT & AMENDMENTS
 

When retailers place an order on our website they are responsible for the accuracy of all order details (quantity of items, delivery address, contact information, and tax number (if applicable). 
 

If you wish to change or cancel any aspect of your order, you should send a request to Awesome Pattern Studio as soon as possible by email. Although we will do our best to make changes to your order before it is fulfilled, Awesome Pattern Studio cannot guarantee that any notice can be accepted in time and those changes can be made prior to dispatch.

 

PAYMENT TERMS
 

Payments are accepted via Credit Card or Bank Transfer options available on our website.

Terms: We currently do not offer payment terms. All invoices are Pro-forma. 

Bank Transfer Option: Although we will do our best to reserve your orders, inventory for orders placed with the Bank Transfer option is not reserved by default until the payment is made. In most cases, orders with the Bank Transfer option will be reserved for 7 days.
 

Awesome Pattern Studio reserves the right to cancel any unpaid orders at its discretion without notification to allow stock availability for other customers. If there are any circumstances that you need to communicate with regard to the delayed payment and you’d like us to hold your order for a reason, please email us immediately. 
 

If the item becomes no longer available for orders with late payment, replacement products or credit will be offered.
 

Repeated unpaid orders and a lack of communication following our reminder emails will result in the suspension or closure of the wholesale account.

 

YOUR ACCOUNT
 

The retailer is responsible for providing accurate and up-to-date billing and shipping information in your account on the site and at checkout. 
 

Awesome Pattern Studio reserves the right to modify your access to Awesome Pattern Studio website content and product assortment in its sole discretion to improve convenience and relevance.
 

In addition, Awesome Pattern Studio reserves the right to restrict or terminate your access to the site at any time without notice in the event Awesome Pattern Studio deems your business unsuitable as a representative of our brand for reasons including, but not limited to, violating our terms and conditions or changing the nature of your business, at Awesome Pattern Studio's discretion without giving a reason.
 

IP, PUBLICATION & SOCIAL MEDIA

Copyright of all photos and text remains the property of Awesome Pattern Studio. 
 

We give the limited right to our official retailers to use without cost all high-res product images and product description text provided by Awesome Pattern Studio on their website, printed promotional material, and both online and printed press material with relevant references to each product. 
 

But the right is limited to the purposes of the usage of copyrighted materials. These purposes include only the promotion, sales, and marketing of the products purchased by retailers from Awesome Pattern Studio. Usage for other purposes without written permission from Awesome Pattern Studio is prohibited. 
 

When reposting brand images on social media, please tag our brand or specify the image copyright.
